Annette Barlow
Partner
Annette joined the firm in 1996 and has been a partner since 2003. Her practice focuses on a wide variety of business law and corporate securities matters. She represents private companies as well as founders and investors with respect to business formations, corporate governance, venture capital financings, federal and state securities compliance, and mergers and acquisitions.
Annette has extensive experience in strategic transactions, as well as contract negotiation and review, including joint ventures, loan agreements, sales, service and distribution agreements, leases and technology licenses. In addition, she regularly counsels professionals in the health care field.
Representative Matters
- Advised start-up companies and founders in formation, financing and equity compensation matters.
- Represented borrowers, private lenders and banks in structuring loan transactions.
- Advised privately owned aviation display company in a $20 million preferred stock investment and option to purchase remaining stock by an avionic equipment supplier.
- Represented a broadband wireless transmission technology developer in multiple preferred stock financings, including a $38 million Series D financing.
- Advised analytical testing and cleaning service company in sale of shares to a subsidiary of a public company.
- Represented private technology companies in the sale of intellectual property and other assets.
- Advised software products and service company in its acquisition by a global enterprise software provider.
- Represented software developer in its merger with a competitor.
- Advised purchaser of a division of a publicly traded human resources outsourcing and consulting services company.
- Represented individual buyers of private manufacturing and service companies.
- Advised real estate clients in various aspects of real property transactions, including commercial leases, construction contracts and financings.
